1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Polarity website located at polarityparking.com (the "Website") and any related mobile applications or online services provided by Polarity Parking, Inc. ("Polarity," "we," "our," or "us"). By accessing or using the Website and our services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service. These Terms constitute a binding legal agreement between you and Polarity.
2. Eligibility
You must be at least 18 years of age to use our Service. By using Polarity, you represent and warrant that you are 18 or older and fully capable of entering into a legal agreement. If you are using the Service on behalf of an organization (such as a property management company), you represent that you have the authority to bind that organization to these Terms. Individuals under 18 may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms, and in no case may anyone under 13 use the Service.
3. License and Acceptable Use
Subject to your compliance with these Terms, Polarity grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website and Service for your own legitimate, personal or internal business purposes. Permitted Use: You may use the Service for its intended purpose of managing and obtaining parking permits and related parking management activities. All rights not expressly granted to you are reserved by Polarity.
When using our Service, you agree to NOT engage in any of the following prohibited activities:
- Unauthorized Copying or Distribution: You must not copy, reproduce, republish, upload, post, transmit, or distribute any part of the Website or Service without our prior written permission. This includes not selling, renting, or sub-licensing our content or materials. You may download or print materials from the Website only for your personal use and not for further distribution or commercial exploitation.
- Interference and Misuse: You must not use the Service for any illegal or unauthorized purpose. You agree not to introduce viruses, worms, malware, or any code intended to harm or interfere with the Service's operation. Additionally, you shall not attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service (e.g., by hacking, password mining, or other illicit means).
- No Spam or Fraudulent Activity: You must not use the Service to transmit any unsolicited advertising, junk mail, spam, or harvest information about other users. You agree not to impersonate any person or entity or misrepresent your affiliation with any person or entity while using our Service.
- Compliance with Laws and Policies: You agree to abide by all applicable local, state, national, and international laws and regulations in connection with your use of the Service. You also agree to follow any posted policies, guidelines, or rules applicable to specific features of our Service. Any violation of these rules may result in termination of your access to the Service.
We reserve the right to monitor usage of the Service for compliance with these Terms, and to investigate, suspend, or terminate accounts engaged in activities that violate these Terms or that are harmful to us or other users.
4. User Accounts
When you create an account with Polarity, you agree to provide accurate, current, and complete information about yourself (or your business, if applicable) as prompted by our registration system. You must keep your account information updated. Account Security: You are responsible for maintaining the confidentiality of your account login credentials, including your username and password. You are also responsible for all activities that occur under your account, whether or not authorized by you.
You agree to notify us immediately at team@polarity.info of any unauthorized access or use of your account or any other breach of security. Polarity will not be liable for any loss or damage arising from your failure to safeguard your account credentials or to promptly notify us of unauthorized use. We may require you to change your password if we believe your account is no longer secure.
Polarity reserves the right to refuse service, suspend or terminate accounts, or reclaim usernames, at its sole discretion and without liability, especially if information provided is inaccurate, outdated, or violates these Terms. If your account is terminated for any reason, these Terms (and in particular, the provisions regarding intellectual property, indemnification, disclaimer of warranties, and limitations of liability) shall survive termination with respect to your prior use of the Service.
5. Fees, Purchases, and Payments
Purchases and Payment Authorization: Certain aspects of our Service may involve fees or payments. For example, guests may be required to pay parking fees through the Polarity platform to obtain a parking permit, or property clients may pay subscription or service fees. If you initiate a purchase or transaction through our Service, you agree to provide current, complete, and accurate billing information. You authorize us (and our third-party payment processors) to charge your provided payment method for all fees incurred by your account. You represent and warrant that you have the legal right to use any payment method (e.g., credit card) submitted to us for transactions. Polarity utilizes secure third-party services (such as Stripe) to process payments, and by submitting your payment information you grant us the right to provide that information to the payment processor for purposes of completing the transaction.
Subscription Services: If you enroll in a recurring subscription (for instance, a monthly software subscription for a property management account), you will be billed in advance on a periodic basis (e.g., monthly or annually, as per the plan you select). Auto-Renewal: Subscriptions will automatically renew at the end of each billing cycle under the same terms unless you cancel the subscription or we terminate it. You may cancel automatic renewal of a subscription at any time through your account settings or by contacting us, effective at the end of the then-current billing period. If you cancel, you will retain access to the subscription services until the end of the paid period, but no prorated refunds will be given for early cancellation except where required by law.
Free Trials: Polarity may offer free trial periods for certain services at its discretion. If you sign up for a free trial, we will notify you of the trial duration and any charges that will apply after the trial ends. Unless you cancel before the end of the trial period, once the trial expires we (or our payment processor) will begin charging your provided payment method for the applicable subscription fees going forward. We reserve the right to modify or terminate free trial offers at any time, without prior notice.
Fee Changes: Polarity reserves the right to change the fees charged for our Service or require new fees at any time upon reasonable notice. Any fee changes will take effect at the start of the next billing cycle or usage. We will make an effort to inform you in advance (e.g., via the Service or email) of any material changes in fees. If you do not agree to a fee change, you must stop using the paid Service and cancel any subscription before the new fee takes effect; otherwise, your continued use of the Service indicates consent to the new fee.
Order Refusal and Errors: We reserve the right to refuse or cancel any order or transaction at any time for reasons including but not limited to: product or service availability, errors in the description or pricing, or suspected fraud or unauthorized conduct. If we cancel a charge or fee you have already paid and you are entitled to a refund, we will issue the refund. We also reserve the right to correct any errors or mistakes in billing even if payment has already been requested or received.
No Refund Policy: Except as expressly provided in these Terms or required by applicable law, all payments and fees are non-refundable. For example, once a parking session is booked or a permit is purchased, it cannot be canceled for a refund if the Service is delivered. If you believe there are extenuating circumstances for a refund, you may contact us and we will review on a case-by-case basis, but we make no guarantee of refund.
6. Parking Services and Enforcement Disclaimer
Polarity provides a platform to facilitate parking management — including the registration, payment, and monitoring of parking permits — for residential communities and their guests. While we strive to provide accurate, real-time information, Polarity does not guarantee that parking will always be available or that unauthorized parking will be completely prevented. All parking spaces remain under the control of the property owner or manager, and availability can change outside of our system's knowledge or control.
You agree that Polarity is not responsible for any parking enforcement actions taken on your vehicle or within your community. Actual enforcement of parking rules (such as issuing citations, booting, or towing vehicles) is carried out by property management or third-party enforcement providers (e.g., towing companies), not by Polarity. Polarity’s role is to provide information and alerts to assist those parties. Consequently, Polarity shall not be liable for any fines, fees, towing charges, vehicle immobilization, or other penalties you incur related to parking violations or enforcement decisions. Any disputes or issues regarding a parking violation or enforcement action (for example, if your vehicle was towed or ticketed) must be resolved between you and the property management or enforcement company. Polarity does not mediate disputes between you and a property owner or towing service regarding parking rules or violations.
Unauthorized Use of Permits: It is your responsibility to ensure you properly register your vehicle and obtain a valid permit for the time you are parked. Simply using the Polarity Service does not exempt you from following all posted parking regulations at the property. If you fail to register, register incorrect information (such as an incorrect license plate), or exceed the allowed parking time, you may be subject to enforcement action by the property (up to and including towing). Polarity will not be responsible for losses or inconveniences caused by your failure to properly use the Service or adhere to parking rules.
7. Prohibited Conduct and Fraudulent Activities
We take misuse of our platform seriously. Any fraudulent, abusive, or unauthorized use of the Polarity Service is strictly prohibited and may result in immediate termination of your account, revocation of permits, and potential legal action. Prohibited conduct includes, but is not limited to:
- Permit Fraud: Misrepresenting the status of a parking permit or attempting to use an illegitimate permit. This includes presenting altered, duplicated, or falsified permits (for example, using a screenshot or copied code as if it were a valid permit. The official Polarity system records are the sole determinant of a permit’s validity, and any permit not reflected in our system at the time of enforcement is invalid.
- Circumventing Permit Rules: Registering or classifying information deceptively to evade parking restrictions. For example, registering a vehicle under another category (such as falsely registering a resident’s vehicle as a "guest" vehicle) to bypass permit limits or time restrictions is prohibited. Similarly, any manipulation intended to skirt the property’s parking policies or Polarity’s usage limits is not allowed. We actively monitor for such misuse and reserve the right to suspend or ban users who engage in these tactics.
- Payment Fraud and Chargebacks: Disputing legitimate charges or fees incurred for parking permits or services after using them, without valid cause, is considered fraudulent behavior. For instance, if you pay for a guest parking session and then later initiate an unwarranted chargeback with your bank for that transaction, Polarity may terminate your account for fraud. Likewise, submitting false claims (e.g., false reports of damages or false insurance claims related to enforcement) will be treated as fraud.
- Tampering and Vandalism: Any act of tampering with or destroying Polarity-related materials or equipment is prohibited. This includes unauthorized removal or defacement of Polarity QR code signage, damaging license plate recognition cameras, sensors, or any other hardware provided for parking enforcement purposes. Such actions may result in immediate loss of access to the Service and potential civil or criminal penalties.
- Violating Property Rules: Repeated or egregious failure to adhere to the parking rules established by the property (apartment community) can result in revocation of your privileges to use the Polarity system. Polarity works in conjunction with property management; if you consistently violate your community’s parking policies, property management may request that your Polarity account be suspended.
Polarity reserves the right to investigate suspected violations of this Section 7. We may suspend your access to the Service (and that of any associated vehicle or account) during such investigation and may permanently terminate your account based on our findings, at our sole discretion. If your account is terminated or suspended for misconduct, you may be barred from re-registering without our permission.
Consequences of Account Revocation: If your Polarity account is revoked or terminated due to misconduct or for any other reason, you will no longer be able to use the Service to obtain digital permits for your vehicles or guests. In such cases, you must directly coordinate with your property management for any future parking arrangements (for example, obtaining physical permits or registering visitors through the leasing office). Even after account revocation, you and your vehicles remain subject to all property parking rules and enforcement actions as determined by the property management. Polarity does not grant or deny actual parking privileges; those decisions rest solely with property management and their enforcement partners. Users whose accounts have been revoked are not exempt from parking enforcement for lack of a valid permit will still subject a vehicle to towing or other penalties per the property's policies. Polarity will not intervene or mediate in enforcement actions taken by the property or towing company due to your non-compliance.
8. Intellectual Property
All content, software, text, images, graphics, logos, trademarks, service marks, and other material available on or through the Polarity Service (excluding content provided by users) are the property of Polarity or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. Polarity™ and all related logos and product/service names are trademarks of Polarity (the "Polarity Marks"). You are not permitted to use these Marks without our prior written consent.
Polarity retains all rights, title, and interest in and to the Service and its content. This includes any enhancements or improvements to the Service. You agree not to reverse engineer, decompile, or disassemble any technology or software underlying the Service, and not to remove or alter any copyright, trademark or other proprietary notices contained in the Service.
You are granted a limited right to use the Service as set forth in Section 3 (Acceptable Use). You do not acquire any ownership rights by using the Service or by copying material from the Service for personal use. If you provide any feedback, suggestions, or ideas regarding the Service, you agree that Polarity is free to use them without any restriction or compensation to you, and that you irrevocably assign to Polarity all right, title, and interest in such feedback.
9. User Content
Our Service may allow you or other users to submit or share content such as text, images, data, or other materials (collectively, "User Content"), for example, in support requests, community forums, or property notes. By submitting any User Content through the Service, you grant Polarity a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display your User Content as needed to provide the Service and carry out the purposes for which you submit it. For instance, if you upload a photo as evidence of a violation or send a message, we may transmit it to the relevant property manager or enforcement personnel.
You represent and warrant that you have all necessary rights to submit the User Content and to grant the above license, and that neither the User Content nor Polarity’s use of it as permitted by this Agreement will infringe or violate the rights of any third party (including intellectual property rights or privacy rights). Polarity does not endorse any User Content and is not responsible for its accuracy or legality. While Polarity has no obligation to monitor User Content, we reserve the right to remove or disable access to any User Content for any reason, including if such content, in our judgment, violates these Terms or is otherwise objectionable. You understand that by using the Service, you may be exposed to User Content submitted by others that you may find offensive or inappropriate, and you use the Service at your own risk with respect to such content.
10. Links to Third-Party Sites
The Service may contain links or integrations to third-party websites or services that are not owned or controlled by Polarity. Examples include links to property management portals, towing company sites, payment gateways, or external resources. Polarity has no control over and assumes no responsibility for the content, privacy policies, terms, or practices of any third-party websites or services. The inclusion of any link does not imply that Polarity endorses or is affiliated with the linked site or service. If you follow a link to any third-party website, you do so at your own risk, and you understand that these Terms (and our Privacy Policy) do not apply to your use of those external sites. We strongly encourage you to review the applicable terms and policies of any third-party site that you visit via our Service.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share your information. Our Privacy Policy is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as outlined in the Privacy Policy. If you do not agree with our Privacy Policy or any of its provisions, please do not use the Service.
12. Termination
We reserve the right to terminate or suspend your account or your access to all or any part of the Service immediately, without prior notice or liability, at our sole discretion, for any reason whatsoever. This includes (but is not limited to) termination for breach of these Terms, failure to pay fees when due, suspected fraudulent or unlawful activity, or any conduct that we deem harmful to Polarity, other users, or third parties. We may also terminate or suspend the Service in whole or in part at any time (for example, if we discontinue the platform), though we will endeavor to provide advance notice to users in such case.
If you wish to terminate your own account, you may do so by discontinuing use of the Service and (if an account interface is available) by following the account closure procedure. You may also contact us to request account deletion.
Upon any termination of your account, whether initiated by you or us, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, limitations of liability, and dispute provisions. Termination of your account does not relieve you of any obligation to pay any outstanding fees or resolve any pending transactions.
13. Disclaimer of Warranties
Use at Your Own Risk: Your use of the Polarity Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted under applicable law, Polarity disclaims all warranties of any kind, whether express or implied, with respect to the Service and its functionality, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Polarity and its affiliates, licensors, and suppliers do not warrant that: (a) the Service will be uninterrupted, secure, or available at any particular time or location; (b) any defects or errors will be corrected; (c) the Service will be free of viruses, malware, or other harmful components; or (d) the results of using the Service (including any parking or enforcement outcomes) will meet your requirements or expectations.
Any information or advice obtained from Polarity (whether oral or written) shall not create any warranty not expressly stated in these Terms. You are solely responsible for any damage to your property (including your vehicle or computer system) or loss of data that results from use of the Service.
14. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Polarity, its owners, directors, officers, employees, agents, partners, or affiliates be liable for any indirect, incidental, special, consequential or punitive damages arising out of or related to your use of (or inability to use) the Service. This includes, without limitation, any damages for lost profits or revenues, loss of data, loss of goodwill, cost of substitute services, or other intangible losses, even if Polarity has been advised of the possibility of such damages.
In particular, Polarity shall not be liable for any injury, damage, or loss to persons or property (including your vehicle) related to parking enforcement actions, disputes between you and a property or towing company, or the unavailability of parking. We are not responsible for the conduct, whether online or offline, of any user of the Service or any third-party service (such as a towing vendor or property manager).
Polarity’s total cumulative liability to you for any claims arising out of or relating to these Terms or the Service, regardless of the form of the action, and whether in contract, tort, strict liability or otherwise, shall not exceed the amount (if any) that you have paid to Polarity for use of the Service in the twelve (12) months immediately prior to the claim (or, if greater, one hundred U.S. dollars ($100)).
15. Indemnification
You agree to indemnify, defend, and hold harmless Polarity and its officers, directors, employees, agents, affiliates, and partners from and against any and all claims, demands, disputes, losses, liabilities, damages, or expenses (including reasonable attorneys’ fees and legal costs) arising out of or related to: (a) your use or misuse of the Service; (b) any violation of these Terms or of any law or regulation by you; (c) your infringement or misappropriation of any intellectual property or other rights of Polarity or third parties; or (d) any dispute you have with a third party (such as a property owner or towing company) in connection with the Service.
Polarity reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and if we do so, you agree to cooperate with our defense of that claim. You agree not to settle any such matter without the prior written consent of Polarity. We will use reasonable efforts to notify you of any such claim, action or proceeding as soon as we become aware of it.
16. Governing Law and Venue
These Terms and any disputes arising out of or related to these Terms or the Service will be governed by and construed in accordance with the laws of the State of Texas, USA, without giving effect to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.
You agree that any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Texas. You consent to the personal jurisdiction and venue of such courts, and waive any objections (including objections based on inconvenience) to jurisdiction or venue in those courts. Notwithstanding the foregoing, Polarity may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or stop any actual or threatened infringement, misappropriation, or violation of its intellectual property or other proprietary rights.
17. Modifications to Terms
Polarity reserves the right to modify or update these Terms at any time in its sole discretion. If we make material changes, we will provide notice to you by posting the revised Terms on our Website and by indicating the date of the latest revision at the top of the Terms, and/or by other appropriate means. We may also notify registered users of material changes via email or through the Service. It is your responsibility to review these Terms periodically for any changes. Changes will ordinarily become effective no sooner than 30 days after posting (or such later date as indicated in the updated Terms), except changes addressing new functions of the Service or changes made for legal reasons may become effective immediately.
By continuing to access or use the Service after any revisions become effective, you agree to be bound by the updated Terms. If you do not agree to the new terms, you must stop using the Service.
18. Entire Agreement
These Terms (together with the incorporated Privacy Policy and any additional guidelines or rules that we post for particular features of the Service) constitute the entire agreement between you and Polarity regarding your use of the Service, superseding any prior agreements or understandings between us on that subject. You acknowledge that you have not relied on any representation, warranty, or statement not expressly set out in these Terms.
19. Waiver and Severability
No waiver by Polarity of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or any other term, and any failure of Polarity to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
